Terms & Conditions

By accessing or using our marketing and services, you agree to be bound by this Agreement and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our marketing and services.

Our marketing and services may include but are not limited to Xerox and Printer Machines marketing and services and selling consumables and spare parts. A separate agreement or proposal will outline the specific details and scope of services.

As a client, you agree to provide accurate and complete information necessary for the execution of our marketing and services. You are responsible for the content, accuracy, and legality of any materials or information provided to us. You also agree to cooperate and provide timely feedback and approvals as required for the successful completion of the services.

The fees for our marketing and services will be specified in a separate agreement or proposal. Unless otherwise agreed upon, fees shall be paid according to the following terms:

a. Initial Payment: A non-refundable deposit or upfront payment may be required before the commencement of services.

b. Progress Payments: For projects spanning an extended period, progress payments may be required at predetermined milestones.

c. Final Payment: The remaining balance is due upon completion of the services, before the final delivery or launch.

d. Late Payments: In the event of late payment, we reserve the right to suspend or terminate the services until payment is received in full. Late payments may also be subject to additional charges or interest as specified in the separate agreement

a. Ownership: Unless otherwise agreed upon, all intellectual property rights, including copyrights, trademarks, and other proprietary rights, associated with the deliverables produced under the services shall remain the property of the service provider.

b. License: Upon full payment of the agreed fees, the client is granted a non-exclusive, non-transferable license to use the deliverables solely for the client's internal business purposes. The client may not reproduce, modify, distribute, or sell the deliverables without prior written consent from the service provider.

Both parties agree to keep confidential any information disclosed during the provision of services that is designated as confidential or would be reasonably considered confidential. This obligation of confidentiality shall survive the termination of this Agreement.

To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of our marketing and services. We do not warrant that our services will be error-free, uninterrupted, or secure.

Either party may terminate this Agreement upon written notice if the other party fails to comply with any material term or condition of this Agreement. Termination shall not relieve the client's obligation to pay for services provided up to the date of termination.

This Agreement shall be governed by and construed in accordance with the laws of the Philippines. Any legal actions or proceedings arising out of or in connection with this Agreement shall be brought exclusively in the courts of the Philippines.

This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior or contemporaneous communications, agreements, and understandings, whether oral or written.
